Leading Pharma Software Innovator Secures Another Key AI-Powered Acquisition

Congratulations to our client Simulations Plus (Nasdaq: SLP), which continues its strong corporate acquisition streak with the ongoing assistance of a team of Procopio attorneys from numerous legal practices. The latest acquisition by Simulations Plus, a leading provider of modeling and simulation software and services for pharmaceutical safety and efficacy, is Pro-ficiency Holdings, Inc., and its subsidiaries. Simulations Plus purchased Pro-ficiency, a leader in simulation-enabled performance and intelligence solutions for clinical and commercial drug development, for approximately $100 million in cash.

According to Simulations Plus’ press release, the transaction expands its operations from establishing pre-clinical protocols to product commercialization, providing pharmaceutical and biotech companies with an end-to-end offering including clinical trial operations, medical affairs and commercial market launches. Pro-ficiency’s suite of AI-developed software and services enhances Simulations Plus’ capabilities to enhance clinical trial and launch training, data analytics and outcomes.

Simulations Plus has been a client of Procopio Partner Dennis Doucette for more than 25 years; he is the attorney who assisted in taking the company public. Dennis led this transaction, working alongside Mergers & Acquisitions and Strategic Joint Ventures co-leader and Partner Jason Femrite. This is the sixth acquisition the two have managed for Simulations Plus, including last year’s acquisition of modeling and simulation company Immunetrics, Inc. Helen Goldstein, co-leader of Procopio’s Life Sciences practice as well as its Technology Transactions and Licensing practice, played a key role in the transaction. Others assisting included corporate attorneys Caitlin Murphey, Gabriela Turner, Michael Tiab, Kaitlyn Jensen and Natalie Dundas.
