February 5, 2025 (Orange County, CA) – Procopio’s newest Partner is Ruba Qashu, an experienced capital markets and securities attorney joining the firm from Barton LLP, where she was also a Partner. She has practiced in the L.A./Orange County area for nearly 20 years with various firms and will be based at Procopio’s Orange County office.

Ruba focuses on capital markets and securities transactions. She has extensive experience as lead securities counsel for public companies and is adept at dealing with the U.S. Securities and Exchange Commission (SEC), Nasdaq and NYSE. Her services include reverse mergers, Form 10 transactions, follow-on public offerings, CMPOs, registered directs and PIPEs. Ruba handles ‘34 Act reporting and advises regarding corporate governance, equity compensation plans and stockholder communications, and she files primary, reseller, and shelf registrations. Ruba has a successful track record defending against proxy contests and managing shareholder activism, and also counsels companies regarding compliance plans for maintaining stock exchange listings, up listing, and moving listings.

Ruba also regularly advises public and private companies with regard to private offerings, mergers and acquisitions, spin-offs and joint ventures. She negotiates and drafts a full range of business and operations agreements. In addition, Ruba represents institutional and other investors in connection with their investments.

Ruba brings her expertise directly to companies by serving as a corporate director. Currently she serves on the Board of Directors of two innovative companies, Cloudastructure, Inc., and Hydro Hash, Inc., providing governance and finance leadership. She earned her JD from Hastings College of Law, now known as UC Law San Francisco. With a BA in English Literature from UC Berkeley, Ruba is a talented writer known for crafting clear and concise stockholder communications.
