Overview
Ruba focuses on capital markets and securities, with an emphasis on securities transactions, disclosure requirements, regulatory compliance and corporate governance.
She has extensive experience as lead securities counsel for public companies and intermediaries and is adept at dealing with the U.S. Securities and Exchange Commission (SEC), FINRA, Nasdaq and NYSE. Her services include IPOS, direct listings, follow-on public offerings, Rights Offerings, CMPOs, registered directs, SPACs, deSPACS, convertible equity offerings, debt financing, RTOs, and PIPEs. Ruba handles ‘34 Act reporting and advises regarding corporate governance, equity compensation plans and stockholder communications. Ruba has successfully defended against proxy contests and manages shareholder activism. She also counsels companies regarding compliance plans for maintaining stock exchange listings, up listing, and moving listings.
Ruba also regularly advises public and private companies with regard to private offerings, acquisitions, spin-offs and joint ventures. She negotiates and drafts a full range of business and operations agreements.
- Represented a Dealer Manager in connection with a Managed Unit Rights Offering for a NASDAQ financial technology company operating an ecommerce marketplace.
- Represented a leading NASDAQ natural soda producer in connection with its Rights Offering.
- Special Counsel to the board of a NASDAQ clinical stage biotech company in connection with its Rights Offering.
- Represented a NASDAQ company in connection with its underwritten Follow-On Public Offering.
- Represented a NASDAQ-listed target in a complex Reverse-Take-Over merger transaction, including financing and spinoff.
- Represented a public holding company in connection with its Series A Investment in a subsidiary for the development of proprietary data and marketing technology.
- Advised a NYSE issuer in connection with negotiation of a separation package of a Chief Executive Officer.
- Advised a Nasdaq company, the owner of popular restaurant franchises, in connection with its Rights Offering.
