Overview
Helen represents life sciences and other industry clients with a variety of corporate law matters, including mergers & acquisitions, corporate governance, licensing, and commercial contracting. She advises companies from their earliest stages in which intellectual property protection and regulatory compliance are critical to success. Helen works closely with attorneys across the firm’s practices to ensure smooth transactions for her clients, bringing project management experience and a reputation for developing “out of the box” solutions to novel challenges. She is the co-leader of Procopio’s Life Sciences practice and its Technology Transactions and Licensing practice.
- Represented DeltaTrainer in its $3.3 million Series Seed financing led by TenOneTen Ventures, with participation from Alpha Edison, Maven, and other angel investors.
- Represented CoPilot Systems in its $5.8 million Series A financing, led by Hyde Park Venture Partners with participation from Maven Ventures, TenOneTen Ventures, Rise of the Rest, Sandalphon Capital, Alpha Edison, and Carnegie Mellon University.
- Represented SimonMed Imaging in a strategic partnership and investment from American Securities.
- Represented a non-profit research organization to create a legal structure and contractual relationships to facilitate pre-clinical and clinical trials within a large hospital system, created standard form agreements to facilitate such trials, (including licensing, material transfer, and third-party service agreements), negotiated and drafted each clinical trial agreement including those with multiple parties contributing IP, international parties and universities.
- Represented late stage life science company to negotiate and draft a critical complex commercial supply agreement for its lead candidate.
- Represented a US life science company to in-license IP from an Israeli university.
- Represented a life science company in a major out-license agreement with a large pharmaceutical company including research to determine the licensor’s standard contractual modes and terms.
- Represented a Canadian publicly traded company in potential acquisition of large US CBD manufacturer.
- Represented farms, extraction facilities, and distributors in the CBD industry with commercial contracting and regulatory matters.
- Represents, on an ongoing basis, a number of life science start ups with corporate, commercial, and compliance matters.
- Represented a logistics and storage company that primarily services businesses with sensitive climate control needs such as life sciences.
- Represented a pharmaceutical company to purchase all the assets of another pharmaceutical company with several drugs on the market, stacked royalty arrangements and international licensing, manufacturing and distribution agreements.
- Represented a publicly traded company to acquire a company focused on software and services related to drug discovery.
