Overview
Gregory specializes in commercial real estate, handling acquisitions, sales, entitlements, and development for developers at local, regional, and national levels across all stages of transactions. He provides counsel to both lenders and borrowers on loan modifications, workouts, and the preparation of commercial loan documentation. Gregory assists clients in buying and selling existing commercial properties, unimproved land for residential development, and mixed-use commercial projects. Gregory also advises commercial landlords and tenants in lease negotiations and long-term ground leases. Additionally, he represents non-conventional lenders and institutional banks in lending, loan workouts, and restructurings, and documents both secured and unsecured loans. Gregory previously served as in-house counsel for a publicly traded company, managing mergers and acquisitions in the U.S. and Latin America. Before joining Procopio, Gregory was the Co-Chair of the National Real Estate Group at an AmLaw 100 firm.
Acquisition
- Represented a developer in the acquisition, entitlement and development of a $35M hotel project.
- Represented the buyer of a $20M, 52-acre partially developed industrial site.
- Represented a large East coast insurance company in acquisition of a $18.5M commercial project comprising seven commercial buildings.
- Represented buyer in a $9.5M acquisition of a mixed-use office and commercial center.
- Represented the buyer of a $6.1M retail center.
- Represented the buyer in the acquisition of 4 office buildings.
- Represented the buyer of several commercial gasoline stations.
- Represented the largest U.S. pepper grower in the acquisition of a large Central California packing plant and cold storage facility.
- Represented an auto dealer in the acquisition, entitlement and development of real property.
- Represented a financial institution in the acquisition of land for development of a bank branch.
- Represented the buyer of a Florida public golf course.
- Represented the buyer of a hotel building in Los Angeles.
Sale
- Represented the seller in the sale of 40 condominium units.
- Represented the seller of a large mango company.
- Represented the seller of a commercial project in Lubbock, Texas.
- Represented seller of a Nissan auto franchise along with dealership’s real property.
- Represented the seller in the sale of over 48 fast food restaurants in California, Oregon and Washington for $80M.
- Represented the seller in the sale of a shopping center in Chula Vista, California.
- Represented the seller in the sale of a high end Italian restaurant with leaseback of real property.
Financing
- Represented the largest U.S. palm tree grower and distributer in a loan workout on a $160M credit facility with two institutional lenders with shared security.
- Represented a Korean lending institution on a loan transaction for commercial property in Las Vegas, Nevada.
- Represented insurance company for purposes of lending on acquisition and development of commercial project in Chino Hills, California.
