Overview
David focuses on providing legal counsel on a wide array of real estate transactions in the U.S. and globally, including financing, development, construction, project finance, joint ventures, clean energy, and leasing; as he puts it, “anything connected to dirt, sticks and bricks.” He represents individuals, developers and public and private companies in multiple industries including life sciences, tech, clean energy, aerospace, consumer products, hospitality, beverage, and retail. His projects include leasing, development, construction, acquisition and dispositions of headquarters offices, manufacturing facilities, R&D labs, agricultural production facilities, hotels, distilleries and wineries, mixed-use developments and various other facilities. He facilitates real estate financing for both borrowers and lenders, including portfolio lending, construction loans, term facilities, re-financings and synthetic leases, as well as transactions with mixed collateral. He also negotiates feedstock, off-take, EPC and other agreements related to the development and financing of clean energy and manufacturing facilities. Previously David was with Cooley LLP.
Development
- Represented Manchester Financial Group in its master development of six city blocks in downtown San Diego under a long-term ground lease with the U.S. Navy.
- Represented Manchester in the sale of its leasehold interest and development rights in five of the blocks to IQHQ.
- Represented Manchester in its planned development of a 36-story, 1,150 room luxury hotel on the remaining block Manchester retained.
- Represented Manchester in securing a $430-million refinancing with a commercial mortgage-backed securities loan for its luxury Fairmont Austin hotel.
- Representation of a national hotel developer in the ground up development of a planned 6-story, 1,150 room luxury hotel, including negotiation of a hotel management agreement with a luxury brand operator.
- Represented the owner of an island in negotiating a resort management agreement and related documents for the development of the island into a world-class, super luxury resort in the Bahamas.
- Represent Greystar in the development of a Class A apartment complex in North San Diego County.
- Represent JobTrain, a nonprofit providing workforce training services, in its co-development of a new office and training facility in Palo Alto, CA.
- Represent East Palo Alto Community Alliance and Neighborhood Development Organization in its co-development of several affordable housing communities in East Palo Alto, CA.
- Represented Sazerac Company in the development of a planned $90MM distillery in Murfreesboro, TN.
- Represented a space exploration company in a public-private partnership leading to the development of a new corporate headquarters and spaceport, including development of forms and procedures for public use of the spaceport and joint equipment-licensing arrangements.
- Represented construction technology company Juno in negotiating a joint venture and financing for its first demonstration project, a 24-unit, modular-built apartment community in Austin, TX.
Purchase and Sale
- Representation of a national hotel developer in the acquisition of full service hotels in Southern California and North Carolina.
- Represent a design company in its acquisition and redevelopment of multiple historic properties in San Francisco, CA.
- Represented a private theological university in the proposed sale of its 10-acre campus in Berkeley, CA.
- Represented a mid-sized national hotel chain and served as lead real estate team member in the $110MM financial re-structuring of twelve hotels on the west coast, as well as the disposition of five other hotels in Washington, Idaho and Oregon.
- Represented a state sovereign fund in the acquisition and financing of office properties in Washington and Texas in an aggregate amount of more than $50MM.
Sale-Leaseback
- Represented Ionis Pharmaceuticals in the sale-leaseback of Ionis’ 18.4-acre, 250,000 square foot headquarters in Carlsbad, CA, to Oxford Properties for $258MM.
- Represented Mannkind in the sale-leaseback of its pharmaceutical manufacturing facility in Danbury, CT, for $102MM.
Financing
- Representation of a national hotel developer in multiple refinancings of a 1,048 room convention center hotel in Austin, Texas.
- Represented a mid-sized national hotel chain in the $110million financial re-structuring of twelve mid-market hotels on the west coast, as well as the disposition of five other hotels in Washington, Idaho and Oregon.
- Represented Aligned Data Centers in its $1billion credit facility used to finance and build out five data centers across the U.S.
- Represented Manchester Financial Group in its $425MM refinancing of a flagship hotel.
- Represented an investor in the recapitalization of a luxury, five star resort in San Diego.
- Represented Instil Bio in securing an $85MM construction loan for its research and manufacturing headquarters.
- Represented a controlled environment agriculture company in multiple real estate-secured financings of more than $200MM in the aggregate.
- Represented Greystar in over $300MM in construction and permanent apartment financings.
- Represented multiple mid-market lenders in varied lending transactions.
Leasing
- Represented over 150 life sciences companies, technology companies and venture investors in securing leases for new headquarters, GMP manufacturing facilities, laboratory space and other specialty spaces across the United States, including tenant-side representation of a life science company in securing the largest office/laboratory lease (by transaction amount) in San Diego history.
- Represented Neurocrine Biosciences in negotiations for its 535,000 square foot, build-to-suit headquarters, the largest leasing transaction in San Diego history by dollar value.
- Represented VIR Biotechnology in negotiations of a lease for its 133,896 square foot research & development facility in San Francisco.
- Represented Janux Pharmaceutical in negotiations of a lease for its 47,000 square foot research & development facility in San Diego.
- Represented Orca Biosciences in the build-to-suit leasing and build-out of a 94,500 square foot FDA-regulated production facility in Sacramento, CA.
Clean Energy
- Represented Independence Hydrogen in negotiating multiple hydrogen feedstock and offtake agreements and currently represent the company in the development of a hydrogen production facility Valdosta, GA.
- Represented a solar developer in acquiring options and fee title to numerous properties in San Bernardino County, CA.
- Represented Greystar Development in negotiating power purchase agreement.
- Represented a private equity fund focusing on clean energy in multiple joint ventures and investments in clean energy projects.
In addition, David has extensive pro bono involvement in affordable housing, as well as representation of a youth homeless services organization, low-income entrepreneurs, and other nonprofit community organizations.
