Procopio Attracts Additional Legal Talent

San Diego, CA – The San Diego law firm of Procopio, Cory, Hargreaves & Savitch LLP is pleased to announce that Sharon A. Madere and Clancy V. Mendoza have joined the firm. Ms. Madere has joined Procopio’s Corporate, M&A and Securities practice in the San Diego office as an associate. Ms. Mendoza has joined the firm’s Employment, Labor and Benefits practice in the Carlsbad office as senior counsel.
Sharon A. Madere comes to Procopio from the San Diego office of Latham & Watkins LLP. Ms. Madere represents investors and joint venture parties in complex corporate and business transactions, both domestically and internationally, with a particular focus on strategic partnering and joint venture transactions, including those structured through limited liability companies and partnerships. Her practice includes the structuring, formation and negotiation of joint ventures and strategic alliances formed for business operations, development, investment and other purposes. Ms. Madere also represents both US and non-US private equity fund managers in the formation and operation of private equity and investment funds. Although Ms. Madere has represented clients in a variety of corporate and business transactions, she has a particular focus on strategic partnering and joint venture transactions and private equity and investment fund formation. Ms. Madere also has experience with mergers and acquisitions, where she represents domestic and foreign acquirers and targets in negotiations, merger agreements, stock and asset acquisitions, divestitures and restructurings, including in connection with foreign media, technology, transportation and consumer products companies. Her clients include private equity fund managers in connection with their investments in and acquisitions of portfolio companies. Ms Madere also has experience in private equity financings, corporate restructurings and general corporate representation. She represents clients in various industries, including venture capital, biotechnology, entertainment and internet companies. Ms. Madere's cross-border dealings have included transactions in Europe, Asia and Latin America. Ms. Madere received her B.A. from the University of California, Los Angeles in 1996 and graduated from the University of California, Los Angeles School of Law in 1999.

Clancy V. Mendoza joins Procopio from Fisher & Phillips LLP. Ms. Mendoza’s practice involves ERISA and employee benefits law, retirement plans, health and welfare plans and related tax law. Ms. Mendoza consults with clients on employee benefit plan design, implementation, administration, amendment, correction and termination procedures. She also advises clients regarding ERISA, COBRA, HIPAA and USERRA compliance, benefits issues in mergers and acquisitions, tax controversy and DOL and IRS audits of employee benefit plans. Ms. Mendoza received her B.A. from Agnes Scott College in 1988. She graduated, cum laude, from the Stetson University College of Law in 1997, where she served as Articles Editor for the Stetson University Law Review. Ms. Mendoza received her LL.M. in Tax, cum laude, from the University of Florida College of Law in 2000.
"Clancy brings us a varied background in the tax aspects of employee benefit plan administration, nonqualified deferred compensation and IRS and DOL dispute resolution proceedings,” said David P.
