What are the provisions that will most probably be included in a venture term sheet and what do they really mean? This lunch workshop will provide an in depth discussion about the typical provisions found in a term sheet and the most recent trends relating to liquidation preferences, participation rights, anti-dilution provisions, pay-to-play provisions, redemption rights, registration rights, rights of first refusal and co-sale rights, and more. Attendees will learn all of the key terms and provisions relating to a preferred stock financing so that they are armed with the basic knowledge necessary to understand the provisions and nuances of a term sheet and effectively negotiate a round of financing.
