Mr. Brown's sophisticated practice combines both tax and transactional planning and consulting covering a broad range of tax, real estate, and general business matters, with an emphasis on tax planning, financing and structuring for real estate joint ventures and private placements, and general corporate and business consulting. Mr. Brown's clients include institutional developers and investors, as well as privately held businesses. He is a frequent speaker regarding recent developments in tax and business planning, and has served on the California State Bar's Partnerships and LLCs Committee.
Representative Matters
- Structured and negotiated land acquisition and financing for major casino development project, including formation of LLC and private placement of equity and debt securities, negotiation of senior and subordinated debt facilities, and related equity incentive program and tax planning
- Represented wireless technology corporation in negotiating and structuring issuance of Series A Preferred Stock to publicly-traded foreign corporation and creation of employee stock option plan
- Structured project-level equity incentive program with use of Delaware "series" LLC for leading national developer of Class A multifamily properties
- Serving as outside "general counsel" to prominent institutional multifamily housing and commercial property investment companies, including negotiation of limited partnership/LLC agreements, private placements, mortgage financing, tenants in common structuring, and related tax planning
Education, Distinctions & Community Involvement
Robert Joseph Brown received his bachelor degree in economics from the University of California, Los Angeles, in 1989, his Juris Doctor from the University of San Diego School of Law in 1992, and his LL.M. (Taxation) from the University of San Diego School of Law in 1993. During 1992, Mr. Brown served as Extern to the Honorable Judge John J. Hargrove of the U.S. Bankruptcy Court. Mr. Brown is a frequent speaker at continuing legal education seminars on tax and business issues. He has served as Chair of the Tax Section of the San Diego County Bar Association, and is a past member of the Partnerships and Limited Liability Company Committee of the State Bar of California.
